Franchise Description: Image Marketing Enterprises, L.L.C. is the franchisor. The franchisee will operate a business currently under the names “John Casablancas Modeling & Career Center” and “Model & Talent Management Agency” which offers modeling, personal development and commercial film and television acting courses.

Training Overview: Franchisees (or if they are a corporation or partnership, one of the principals acceptable to the franchisor) and their key personnel (including those of their management employees and others the franchisor may designate as requiring training) must attend and complete to the franchisor’s satisfaction the initial training. Training consists of approximately 52.5 hours of classroom training and 55 hours of on-the-job training. Franchisees and the key personnel the franchisor specifies also must attend additional courses, seminars, and training programs that the franchisor reasonably requires from time to time. All franchisees are required to attend the franchisor’s periodic designated meetings of franchisees in the system, at the location(s) the franchisor may specify.

Territory Granted: Franchisees will have the right to operate their center within the Licensed Territory defined in the Franchise Agreement and subject to the terms and conditions contained in the Franchise Agreement. Although there is no minimum territory that franchisees may be granted, a typical Licensed Territory is made up of all or part of one or more counties or cities with a population of at least 500,000 and usually not more than 2,000,000. The Licensed Territory is exclusive. This means that, during the term of the Franchise Agreement, the franchisor will not establish or operate, nor license another person to establish or operate, a center within the Licensed Territory.

Obligations and Restrictions: The franchisor does not require franchisees to provide direct, on-premises supervision of the center. However, during the term of the Franchise Agreement, franchisees (or, if they are a corporation or partnership, the principal or general partner) or their fully-trained director must devote full-time and best efforts to the development and proper operation of the center. If franchisees are an individual, the franchisor strongly recommends that they provide direct, on-premises supervision. Franchisees must purchase and sell all products and services (including courses) which the franchisor prescribes in the manuals or otherwise in writing. Franchisees may only sell products and services which the franchisor has approved in advance.

Term of Agreement and Renewal: The length of the initial franchise term is 10 years. One renewal term of 10 years is available, subject to contractual requirements.

Financial Assistance: The franchisor does not offer direct or indirect financing. The franchisor does not guarantee a franchisee’s note, lease, or obligation.
